1. Introduction

Welcome to Collab Tech Inc. ("Collab," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our platform, including our dynamic media kit tools, creator profiles, and brand collaboration features (collectively, the "Platform").

By creating an account or using the Platform, you ("Creator," "you," or "your") agree to be bound by these Terms.

2. Eligibility

To use the Platform, you must:

• Have the legal capacity to enter into a binding agreement
• Provide accurate and complete registration information

We reserve the right to suspend or terminate accounts that do not meet these requirements.

• Share creator profiles with brands
• Apply for and engage in brand collaboration opportunities

We may update, modify, or discontinue features at any time.

5. Social Media Integration

By connecting your social media accounts, you:

• Authorize Collab to access and retrieve data via third-party APIs
• Grant us permission to display your metrics, content, and analytics on your profile

You are responsible for complying with the terms of the social media platforms you connect.

6. Creator Content

You retain ownership of all content you upload or connect ("Creator Content").

By using the Platform, you grant Collab a worldwide, non-exclusive, royalty-free license to:

• Use, display, and distribute your Creator Content
• Promote your profile to brands
• Improve and operate the Platform

You represent that you have all necessary rights to your content.

7. Creator Responsibilities

You agree not to:

• Provide false or misleading information
• Inflate or manipulate metrics (e.g., fake followers, engagement)
• Engage in fraudulent or deceptive practices
• Use the Platform for unlawful activities

Violation of these rules may result in suspension or termination.

8. Brand Collaborations

Collab may facilitate connections between creators and brands. However:

• Collab is not a party to agreements between creators and brands
• You are solely responsible for negotiating, fulfilling, and delivering on collaborations
• Any disputes must be resolved directly between you and the brand

We do not guarantee payment, performance, or outcomes of collaborations.

9. Fees & Payments

Certain features of the Platform may be offered for a fee.

• Fees (if applicable) will be clearly disclosed
• All payments are non-refundable unless otherwise stated
• Collab may introduce pricing or subscription plans at its discretion

10. Data & Privacy

Your use of the Platform is subject to our Privacy Policy.

We collect and process data to:

• Provide and improve our services

• Facilitate creator-brand connections

11. Intellectual Property

All rights in the Platform (excluding Creator Content), including software, design, and branding, are owned by Collab Tech Inc.

• Continuous or error-free operation
• Accuracy of data from third-party platforms
• That you will receive brand deals or revenue

• Indirect, incidental, or consequential damages
• Loss of revenue, profits, or business opportunities
• Disputes between creators and brands

15. Indemnification

You agree to indemnify and hold harmless Collab Tech Inc. from any claims, damages, or liabilities arising from:

• Your use of the Platform
• Your content
• Your interactions with brands

16. Modifications to Terms

We may update these Terms from time to time. We will notify users of material changes. Continued use of the Platform constitutes acceptance of updated Terms.

17. Governing Law

These Terms are governed in accordance with the jurisdiction applicable to Collab's operating entity. Any disputes will be resolved in the courts of the same jurisdiction, unless otherwise agreed in writing.
